Terms of Service
PureTicker · Last updated 2026-09-03
PureTicker is a research and education tool. It is not investment advice, it is not personalised to you, and it is not a substitute for a licensed professional. Parts of what you read here are written by an AI model and may be wrong. Markets can lose you money, including all of it. Every decision you make with this service is yours alone, and every loss that follows is yours alone. If you are not willing to accept that, do not use the service.
These Terms of Service (the Terms) are a binding legal agreement between you and Mauli Bhalani, the operator of PureTicker (we, us, our). They govern your access to and use of PureTicker and our websites, applications, APIs, data, scores, model outputs and everything else we make available (together, the Service). Section 20 contains a binding arbitration agreement and a class action waiver that affect how disputes between us are resolved. Section 27 sets out the rights that consumers in the EU and EEA have regardless of anything else in these Terms.
1.Agreement to these terms
By accessing the Service, creating an account, or clicking any control presented to you as acceptance, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, your only remedy is to stop using the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind it, and you means both you and that organisation.
2.Eligibility
You must be at least 18 years old and legally capable of entering a contract. You must not be located in, or a national or resident of, any country or region subject to comprehensive sanctions, and you must not appear on any restricted-party list. You must not be barred from using the Service under the law of any jurisdiction that applies to you. We may require proof of any of this at any time and may refuse or withdraw access without giving a reason.
3.What the service is, and what it is not
We read public filings and market data, compute figures from them, and use AI models to explain what those figures show. Scores, grades, fair-value bands and similar outputs are our own opinions expressed as numbers, computed from a method we publish. They are not appraisals, valuations, audits, ratings within the meaning of any securities law, or statements of fact.
The Service is not, and must not be treated as:
- a registered investment adviser, broker-dealer, exchange, alternative trading system, or any other regulated financial entity;
- a recommendation, solicitation or offer to buy, sell or hold any security or other instrument, in any jurisdiction where that would be unlawful or where we are not licensed;
- a market data feed, a system of record, or a source of record for tax, accounting or compliance purposes;
- a custodian of, or a route to, any trade — we do not execute orders and we do not receive order flow.
4.No investment advice and no fiduciary relationship
Nothing on the Service is investment, legal, tax or accounting advice, and nothing on it is tailored to your objectives, financial situation or needs. No advisory, fiduciary, brokerage, agency or trust relationship is created between you and us by these Terms, by your use of the Service, by your payment of any fee, or by any communication with us or with any AI feature. We owe you no duty of care, no duty of best execution, no duty of suitability and no duty to update anything we have published. You should obtain independent advice from a licensed professional before acting on anything you find here.
5.AI-generated content
Parts of the Service are generated by large language models. Model output is probabilistic. It can be inaccurate, incomplete, outdated, internally inconsistent, or entirely fabricated, and it may present all of those confidently. We design the Service so that displayed figures are computed by us from a stated source and the model writes the words around them, but we do not warrant that this containment always holds, that outputs are free of error, or that the same question returns the same answer twice.
You are solely responsible for evaluating and verifying every output before relying on it, including against the primary source we cite. To the fullest extent permitted by law, we disclaim all liability arising from model output, including any output that is wrong, misleading, offensive, or that you or anyone else acts upon. Outputs are not unique to you and substantially similar outputs may be produced for other users.
6.Your assumption of risk
Trading and investing in securities involves substantial risk, including the total loss of capital. Past performance, backtests, historical figures and any signal derived from them do not predict future results. Market data may be delayed, incomplete or wrong; filing data is transcribed automatically and may contain errors; disclosed trades may lag the trade itself by up to 45 days by law. You knowingly and voluntarily assume all risk arising from your use of the Service and from any decision you make with it, and you waive any claim that we should have warned you further than this section does.
7.Licence to use the service
Subject to these Terms and to your payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access the Service for your own internal, non-commercial research. Every right not expressly granted is reserved to us. We may revoke this licence at any time, for any reason or no reason, with or without notice.
8.Restrictions on use
You will not, and will not permit anyone else to:
- scrape, crawl, harvest, index, cache or otherwise extract data from the Service by automated means, or access it other than through the interfaces we provide;
- redistribute, resell, sublicense, publish, broadcast or make the Service or any data, score or output available to any third party, whether or not for a fee;
- use the Service, or any output of it, to train, fine-tune, evaluate, distil or otherwise develop any machine-learning model, or to build any product that competes with the Service;
- reverse engineer, decompile or disassemble any part of the Service, or attempt to discover its source code, model prompts, weights or methodology beyond what we publish;
- circumvent or attempt to circumvent any rate limit, usage cap, paywall, authentication or access control, or create multiple accounts to do so;
- probe, scan or test the vulnerability of the Service, interfere with its operation, or impose an unreasonable load on it;
- attempt to access another user’s account, data, holdings or history, or de-anonymise any data;
- use the Service to break any law, to manipulate any market, to trade on material non-public information, or in connection with any fraudulent or deceptive practice;
- remove, obscure or alter any notice of ownership, attribution or source.
We may monitor use for compliance. A breach of this section is a material breach of these Terms and entitles us to terminate your account immediately, without refund, and to pursue every remedy available to us.
9.Our intellectual property
The Service, and everything in it — software, interfaces, text, layouts, methodologies, scores, grades, models, prompts, databases, compilations, names, logos and trade dress — is owned by us or our licensors and is protected by copyright, trademark, database and other laws. Our name and logo are our trademarks and you may not use them without our prior written consent. Nothing in these Terms transfers any ownership to you.
10.Your content and the licence you grant us
You retain ownership of the content you submit — your questions, watchlists, notes, holdings and preferences (Your Content). You grant us a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable licence to host, store, reproduce, modify, create derivative works from, and otherwise use Your Content for the purposes of operating, securing, supporting, analysing and improving the Service, and to transmit it to the subprocessors listed in our Privacy Policy so they can perform those functions. This licence survives termination to the extent needed for backups, logs, legal compliance and de-identified aggregate analysis.
You represent and warrant that you have all rights necessary to grant this licence and that Your Content does not infringe any third-party right or breach any law. We may remove any content at our discretion and are under no obligation to store, back up or return it.
11.Feedback
If you send us suggestions, ideas, bug reports or other feedback, you assign it to us outright and we may use it for any purpose, commercially and without restriction, attribution or compensation to you. Feedback is not your confidential information and we accept no obligation of secrecy in respect of it.
12.Accounts and security
You are responsible for the address you sign in with, for keeping access to it secure, and for everything done through your account, whether or not you authorised it. Accounts are personal to you and may not be shared, sold or transferred. Tell us promptly at [email protected] if you suspect unauthorised use. We are not liable for any loss arising from unauthorised use of your account, and you remain liable to us for it.
13.Subscriptions, billing and refunds
- Auto-renewal. Paid plans are billed in advance through Stripe and renew automatically at the then-current price for the same period until you cancel. You authorise us to charge your payment method on each renewal.
- Cancellation. You may cancel at any time from the billing portal. Cancellation takes effect at the end of the period you have already paid for; access continues until then.
- No refunds. Except where Section 27 or other non-waivable law requires otherwise, all fees are non-refundable, including for partial periods, unused access, periods after cancellation, and periods during which the Service was unavailable or you chose not to use it.
- Price changes. We may change prices. A change applies to an existing subscriber from the next renewal after we give at least 30 days’ notice. Continuing after that date is acceptance of the new price.
- Taxes. Prices exclude taxes unless stated. You are responsible for all sales, use, VAT, GST, withholding and similar taxes other than taxes on our net income.
- Failed payment and chargebacks. If a charge fails we may suspend or terminate access without notice. Initiating a chargeback instead of contacting us first is a material breach, and we may terminate your account and recover the disputed amount and our costs.
- Trials and promotions. Free or discounted access may be changed or withdrawn at any time and converts to a paid plan at the standard price unless cancelled beforehand.
14.Third-party data and services
The Service incorporates data and services from third parties, including the sources listed on our Privacy Policy. That data is provided subject to those third parties’ terms, which may prohibit you from redistributing it. We do not control, endorse or take responsibility for third-party data, content or services, and we disclaim all liability arising from them, including errors, omissions, delays and interruptions in the data we receive.
We are not affiliated with, endorsed by, or acting for any company, index provider, fund or official body whose data appears on the Service. “S&P 500” is a trademark of S&P Dow Jones Indices; index membership shown here is read from a fund’s published holdings and is not licensed from the index provider.
15.Availability, changes and beta features
We may add, change, suspend, degrade, limit or discontinue any part of the Service, including any feature, data source, model, coverage or plan, at any time and without notice or liability. We do not commit to any level of availability, uptime, latency, coverage or data freshness, and we give no service level agreement. Features labelled beta, preview or experimental are provided for evaluation only, may be withdrawn without notice, and are excluded from any commitment we make anywhere else.
16.Disclaimer of warranties
The Service is provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting that, we do not warrant that the Service or any output will be accurate, complete, current, reliable, secure, uninterrupted, error-free, free of harmful components, or fit for any purpose; that defects will be corrected; that any figure, score or model output is correct; or that use of the Service will produce any particular result, return or profit. No advice or information obtained from us or through the Service creates any warranty not expressly stated here.
17.Limitation of liability
To the fullest extent permitted by law, we and our officers, directors, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, trading opportunity, or any investment or trading loss, arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the Service is limited to the greater of (a) US$50 and (b) the total fees you actually paid us in the 3 months immediately before the event giving rise to the claim. These limits apply even if a remedy fails of its essential purpose, and they reflect an agreed allocation of risk that is a fundamental basis of the bargain between us. Without them we would not provide the Service at the price we do.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any other liability that applicable law makes non-excludable. See Section 27.
18.Indemnification by you
You will defend, indemnify and hold harmless Mauli Bhalani and their officers, directors, employees, agents, suppliers and licensors from and against all claims, demands, proceedings, losses, damages, liabilities, penalties and costs (including reasonable legal fees) arising out of or relating to: your use of the Service; your breach of these Terms or of any law; Your Content; any decision, trade or investment you make; any reliance on the Service by you or by anyone you share output with; and any claim that any of the foregoing infringed a third party’s rights. We may assume exclusive control of the defence of any matter subject to this section at your expense, and you will cooperate with us; you may not settle any matter in a way that imposes any obligation on us without our prior written consent.
19.Time limit on claims
Any claim arising out of or relating to the Service or these Terms must be filed within 12 months after the claim arose, or it is permanently barred, except where a longer period is required by non-waivable law.
20.Dispute resolution, arbitration and class action waiver
Please read this section carefully. It affects your legal rights, including your right to go to court and to have a jury decide your claims.
- Informal resolution first. Before starting any proceeding, you must send a written description of the dispute to [email protected] and negotiate with us in good faith for at least 60 days. This is a condition precedent to filing, and the limitation period is tolled while it runs.
- Binding arbitration. If the dispute is not resolved, it will be settled by final and binding individual arbitration administered by the American Arbitration Association under its rules then in effect, seated in Wilmington, Delaware, before a single arbitrator, in English. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator decides all issues, including the scope and enforceability of this agreement to arbitrate.
- Class action waiver. Claims may be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private-attorney-general or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is held unenforceable as to a particular claim, that claim alone is severed and heard in court; the rest of this section survives.
- Jury trial waiver. To the extent any claim proceeds in court, you and we each waive any right to a trial by jury.
- Your right to opt out. You may reject this arbitration agreement by emailing [email protected] with your account address and the words “arbitration opt-out” within 30 days of first accepting these Terms. Opting out affects nothing else in these Terms.
- Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorised access to the Service.
21.Governing law and venue
These Terms and any dispute arising from them are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply. For any matter not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and waive any objection to venue or forum non conveniens. Consumers in the EU and EEA keep the protection of the mandatory law of their country of residence and may sue in their local courts — see Section 27.
22.Changes to these terms
We may change these Terms at any time. We will update the date at the top and, for material changes, take reasonable steps to notify you. Your continued use of the Service after a change takes effect is your acceptance of the changed Terms. If you do not accept them, your only remedy is to stop using the Service and cancel any subscription. Changes to Section 20 do not apply retroactively to a dispute of which we already had notice.
23.Suspension and termination
We may suspend or terminate your access, in whole or in part, at any time, for any reason or no reason, with or without notice, including where we believe you have breached these Terms, where your use creates risk or cost for us, or where we discontinue the Service. Termination does not entitle you to any refund. You may terminate at any time by cancelling your subscription and ceasing use.
Sections 9, 10, 11, 16, 17, 18, 19, 20, 21 and 26 survive termination, together with any other provision that by its nature should survive.
24.Copyright complaints
If you believe material on the Service infringes your copyright, send a notice to [email protected] identifying the work, the material and its location, your contact details, a statement of good-faith belief that the use is unauthorised, a statement that the notice is accurate, and your signature. We may remove material and terminate repeat infringers.
25.Export controls and sanctions
You represent that you are not subject to any sanction or export restriction that would prohibit your use of the Service, and you will not export, re-export or make the Service available in breach of any applicable export control or sanctions law.
26.General provisions
- Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed; the rest remains in force. This does not apply where local law prohibits such reading down — see Section 27.
- No waiver. Our failure to enforce any provision is not a waiver of it or of any other provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent; any attempt to do so is void. We may assign them freely, including in connection with a merger, acquisition or sale of assets.
- Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and us about the Service, and supersede every prior or contemporaneous understanding, including any earlier terms of use we published.
- No third-party beneficiaries. Except for the parties we indemnify and limit liability for, no third party has any right under these Terms.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages at any hosting, data, payment or model provider.
- Notices. We may give notice by email to your account address or by posting on the Service; notice is effective when sent or posted. Notices to us go to [email protected].
- Independent parties. Nothing here creates a partnership, joint venture, employment or agency relationship.
- Language and headings. The English version controls. Headings are for convenience only and do not affect interpretation.
27.Consumers in the EU and EEA
If you are a consumer resident in the European Union or the European Economic Area, including Germany, this section applies to you and overrides anything else in these Terms that conflicts with it. It states the rights that mandatory law gives you and that we cannot take away. It does not extend any other part of these Terms.
- Your local law and courts. Nothing in Section 21 deprives you of the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts of that country. Sections 19 and 20 — including the arbitration agreement, the class action waiver and the shortened claim window — do not apply to you. You may also use the European Commission’s online dispute resolution platform. We are not obliged, and do not undertake, to participate in proceedings before a consumer arbitration board.
- Right of withdrawal. You have 14 days from concluding a subscription to withdraw from it without giving a reason, by telling us at [email protected]. If you ask us to start providing the Service during that period, you pay a proportionate amount for what you used before withdrawing. The right lapses once the Service has been fully performed with your prior express consent and your acknowledgement that you thereby lose it. The “no refunds” rule in Section 13 does not affect this right.
- Statutory conformity rights. You keep your statutory rights in respect of digital content and services (in Germany, BGB §§ 327 ff.), including rights to have the Service brought into conformity, to reduce the price and to terminate. Section 16 does not exclude those rights.
- Liability that we do not limit. Section 17 does not limit our liability: for death, personal injury or damage to health; for intent or gross negligence; under the Product Liability Directive and its national implementations (in Germany, the Produkthaftungsgesetz); or under any guarantee we have expressly given. For slight negligence we are liable only for breach of an essential contractual obligation — one whose performance makes proper performance of the contract possible in the first place and on whose observance you may routinely rely — and that liability is limited to the foreseeable damage typical for this type of contract. This is stated separately from Section 17 because German law on standard terms does not permit an overbroad clause to be read down to the permitted maximum.
- Changes to these Terms. Section 22 does not apply to you by silence alone. We will notify you of a material change at least 30 days in advance, tell you that you may object, and let you terminate free of charge if you do.
- Severability. Where the law of your country does not permit an unenforceable standard term to be read down, it is severed instead, and the statutory rule applies in its place.
28.Contact
PureTicker is operated by Mauli Bhalani, who is the party you contract with under these Terms and the party to serve any notice on. Notices go to [email protected]. Registered entity details and a postal address are published here once the operating company is incorporated; until then, email is the address for every notice under these Terms.
These Terms were drafted for a product at this stage and have not been reviewed by a lawyer. If you are the operator of this site, have them reviewed before relying on them. The sections most likely to need work are 17 (liability), 20 (arbitration and the class action waiver), 13 (auto-renewal disclosure, which US states such as California regulate at the checkout screen as well as here) and 27 (which needs to match the jurisdiction the operating company is actually incorporated in). Placeholder operator and contact details come from LEGAL_ENTITY and LEGAL_CONTACT_EMAIL; the product name is LEGAL.product. These are two different things and the agreement uses each deliberately — PureTicker is the software, Mauli Bhalani is who you contract with.
